Welcome, and thank you for your interest in Origin of Life and our website at originoflife.in (“Website”) along with other services provided by us either online mode using Zoom or other web conferencing platform, or by video streaming platform, or by posting videos on YouTube or similar service or in offline mode either by way of physical sessions or using it as online and/or offline interactive software or app or in any other manner whatsoever at the discretion of Origin of Life (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Origin of Life regarding your use of the Service. For purposes of ease of understanding, terms such as “You” and “User” be used to refer to the customer and terms such as “We”, “Origin of Life” or “Our” shall be used in reference to the Service and/or the Origin of Life.

BY CLICKING “I ACCEPT,” OR BY OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE,YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING Origin of Life’S PRIVACY POLICY (ANNEXURE ‘1’ HERETO) AND CANCELLATION & REFUND POLICY(‘ANNEXURE 2’ HERETO)(TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND Origin of Life’S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY Origin of Life AND BY YOU TO BE BOUND BY THESE TERMS NOW, THEREFORE, in consideration of the promises and mutual covenants set forth herein, the Parties hereto, intending to be legally bound, hereby agree as follows:

ELIGIBILITY
You will be considered eligible for the Services under the following conditions:
1. you are at least 18 years old, or have your parent or guardian’s consent to use the Services, will only use the Services under their supervision, and your parent or guardian has agreed to these Terms on your behalf;
2. you have not previously been suspended or removed from the Service; and
3. your registration and your use of the Service is in compliance with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms
SCOPE OF SERVICESOrigin of Life shall offer the following services to the User:
1. Origin of Life shall conduct interactive sessions in either online mode using Zoom or other web conferencing platform, or by video streaming platform, or by posting videos on YouTube or similar service or in offline mode either by way of physical sessions or using it as online and/or offline interactive software or app or in any other manner whatsoever at the discretion of Origin of Life;
2. User can rent or purchase the service or book sessions through the Website according to their suitability and availability.
PAYMENT TERMS
The User shall make payment to Origin of Life for the Services through a payment gateway in the manner provided on the said Website.
YOUR CONDUCT

The User must, to be granted access to the Services offered thereunder, uphold and abide by the following:
i. The User shall not:

Engage in any form of activity whereby the confidential information of any other User(s), including but not limited to their password, login details, editing history and other such account details, is collected in any manner contrary to the law of the land;
Partake in any form of activity on the said Website or web conferencing platform by using the account of another User without their consent or knowledge;
Publish or conduct business in a wrong manner, harassing, blasphemous, obscene, defamatory, libellous, hateful, promote illegal activities such as gambling, pornography, money laundering or any other acts, material or images deemed unlawful by the law of the land;
Participate in activities which infringe on the Privacy of other User(s), Company, and any other individuals so associated, representatives, agents and even employees without their explicit consent;
Participate in any activity causing there to be unsolicited emails, messages, calls and even posts to be sent to other User(s), Company, said Website or Zoom and any other individuals so associated, representatives, agents and even employees of the same;
Participate in the marketing advertising, providing information, instructions and/or solicitation of activities, objects, products, goods or works deemed unlawful in the eyes of the law;
Exceed the scope of authorized access to the Services and the said Website in a manner so deemed unlawful and/or inappropriate by the law of the land;
Partake in the filing of information solely for fraudulent or misinformative purposes which are against the law of the land;
Partake in any actions that threaten the unity, integrity, defence, security or sovereignty of their home country, friendly relations with foreign states or public order or causes of incitement to the commission of any cognizable offence or prevents investigation of any offence from happening or insulting to any other nation;
ii. The User(s) shall be deemed to unlawfully conducting themselves should they:
1. Gain access to the Services or the said Website and / or any of the online or offline sessions despite refusing to fill in the account details in a proper manner;
2. Harass the Company and any other individuals associated with, representatives, agents and even employees of the Company in any manner whatsoever;
3. Partake in any activities with the sole intention of causing loss of revenue/business issues and/or any other financial problems of the Company.
4. Partake in the commercial sale of the Pictures so created on the said Website or on web conferencing platform or during the course of the said Services without the consent of the User or Company who created it.
5. Partake in any activity that is held to be against the Information Technology Act, 2000 and the rules thereunder, the Consumer Protection Act, 2019 and the rules made thereunder.

INTELLECTUAL PROPERTY
1. “Content” means any and all information and data, which may include but not be limited to text, software, scripts, presentations, graphics, photos, sounds, music, videos, logos, offers, advertisements, interactive features and other materials.
2. The Service, said Website and related services are owned and operated by Origin of Life and its licensors. All Content or other material available on the said Website or otherwise, including but not limited to online or offline live or recorded lectures and/or sessions, speeches, video lessons, presentation materials, programs, code, and other images, text, layouts, arrangements, displays, illustrations, documents, materials, audio and video clips, HTML and files (collectively “Origin of Life Content”), are the property of Origin of Life and/ or its affiliates or licensors, and are protected by copyright, patent and/ or other proprietary intellectual property rights under Indian and foreign laws. All software used on the said Website is the property of Origin of Life and is protected by Indian and international copyright laws.
3. Origin of Life logos, trademarks and service marks that may appear on the said Website and in the Services or otherwise (“Origin of Life Marks”) are the property of Origin of Life and are protected under Indian and foreign laws. All other trademarks, service marks and logos used on the Services, Website, App, Online Courses or otherwise, with or without attribution, are the trademarks, service marks or logos of their respective owners. In addition, elements of the Services and said Website are protected by trademark laws and other Indian and international intellectual property laws and may not be copied, reproduced, downloaded or distributed in any way in whole or in part without the express written consent of Origin of Life.
4. As a condition of accessing the Service and/or said Website, you agree not to (a) reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose any Origin of Life Content or any portion of it thereof, other than as expressly allowed under these Terms; and (b) use the Origin of Life Marks or the name, trademarks, service marks, or other materials of any Educational Partner in connection with, or to transmit, any unsolicited communications or emails or for any other unauthorised purpose.
5. Please verify all Content prior to use. In the event you come across any Content that is incorrect, infringing, offensive, indecent or objectionable, please notify us immediately.
LIMITATION OF LIABILITY
1. That the Company and any other individuals associated, representatives, agents and even employees of the same shall in no manner be liable for any direct, indirect, punitive, special and/or consequential or any other form of damages arising from and in relation to:
  i. Unauthorized access to the said Website or to the live or online / offline pre-recorded sessions / lectures / presentations or otherwise that is caused due to no fault of the Company and other individuals so associated, representatives, agents and even employees of the same;
  ii. Breach of any conditions, warranties, representations and obligations made by the Payment Gateway, advertisers to the User;
  iii. In the event the User is unable to access the said Website or live or online / offline pre-recorded sessions / lectures / presentations or otherwise conducted by the said Company due to no fault of the Company and/or any other individuals so associated, representatives, agents and even employees of the same;
  iv. Any other matter regarding the working of the said Website or live or online / offline pre-recorded sessions / lectures / presentations or otherwise conducted by the said Company with which the User is so acquainted while utilising the said Website to make purchases of the Services;
2. The User accepts and understands that the Company shall in no manner be responsible for any issues, including loss of access to, arising from and in relation to accessibility of the Website and live or online / offline pre-recorded sessions / lectures / presentations or otherwise.
TERMINATION
1. The Company shall have the sole and exclusive right to unilaterally terminate service of the User immediately in the following events:
  i. Should it be found that the said User has been engaging in activities that violate the Terms of Use, Privacy Policy and other such policies, the law of the land or any other rules and regulations put forward by the governing authorities;
  ii. Should the User manipulates, abuses, twists or misinterprets the Terms of Use, Privacy Policy and other such policies, the law of the land or any other rules and regulations put forward by the governing authorities for purposes of partaking in unlawful activities;
  iii. Should the User harasses, intimidates, provokes, abuses, hurts or partakes in any unlawful action against the ORIGIN OF LIFE and any other individuals so associated, representatives, agents and even employees of the same;
  iv. Should the User upload, create or share any malicious software, content, virus or destructive algorithm which may cause harm to the Company and/or the said Website or any other concerned individual/third party
  v. Should the User be in breach any part of the Terms of Use, Privacy Policy and other such policies, the law of the land or any other rules and regulations put forward by the governing authorities;
INDEMNITY
You agree to indemnify and hold Origin of Life and its affiliates, employees, directors, officers, agents, vendors or supplier harmless from any and all claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees and costs, relating to or arising out of (a) your use or attempted use of the Service and/or the said Website in violation of the Terms; (b) your violation of any law or rights of any third party; or (c) information or Content that you or others post or otherwise make available on the Service or said the Website or elsewhere, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.
LIMITATION OF LIABILITY
Neither Origin of Life nor any of its affiliates, employees, directors, officers, agents, vendors or supplier shall be liable to you or any other person, whether in Tort, Contract, Strict Liability or otherwise, for any indirect, special, incidental or consequential losses or damages of any nature arising out of or in connection with the use or inability to use this Service or said Website, including, without limitation, damages for lost profits, loss of goodwill, loss of data, work stoppage, accuracy of search results, or computer / electronic device failure, virus or malfunction. In no event will Origin of Life be liable for any damages in connection with your using the Service.
DISCLAIMER
1. The Service and/ or said Website may contain typographical errors or inaccuracies and may not be complete or current. We, therefore, reserve the right to correct any errors, inaccuracies or omissions (including after an order has been submitted) and to change or update information at any time without prior notice.
2. The Service, Website, and any information or Origin of Life Content are provided on an “as is” and “as available” basis with all faults.
3. Origin of Life makes no representations or warranties of any kind, whether expressed or implied, with respect to Origin of Life Content or services available on or through the said Website, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Origin of Life makes no warranty that the Service will meet the User’s requirements or that the services will be uninterrupted, timely, secure, or error free; nor does Origin of Life make any warranty as to the results that may be obtained from the use of the Service, or as to the accuracy or reliability of any information obtained through the Service
4. The User understands and agrees that the Origin of Life Content and all other information, data, or other material downloaded or otherwise obtained through or from the Service or said Website is obtained at the User's own discretion and risk, and that the User will be solely responsible for any damage to the User, the User's computer system, electronic device or any loss of data that results from the download of such material or data.
5. No advice or information, whether oral or written, obtained by the User from Origin of Life or through or from the services, shall create any warranty by Origin of Life.
JURISDICTION AND ARBITRATION:
These Terms shall be governed by, construed and enforced in accordance with the laws in India, as these are applied to agreements entered into and to be performed entirely within India and without giving effect to any principles of conflict of laws. You agree that any legal lawsuit or other action brought by Origin of Life, you or any third party to enforce these Terms or in connection with any matters related to the Service or said Website, shall be subject only to the jurisdiction of the courts of Mumbai. Where a dispute arises, the parties involved shall make all reasonable efforts to resolve the dispute through good faith negotiations. If efforts to amicably resolve any dispute or claim between the parties are unsuccessful, then such dispute or claim arising out of or in connection with the Terms or any Program-specific terms shared with you shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended (“Act”) before a sole arbitrator to be appointed by parties mutually. The proceedings shall be conducted in English and the seat for arbitration shall be Mumbai. The Award of the Arbitrator shall be final and binding on all parties.
MISCELLANEOUS PROVISIONS:
1. Origin of Life may freely transfer or assign any portion of its rights or delegate its obligations under these Terms. You shall not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under these Terms without the prior written consent of Origin of Life.
2. If any provision of the Terms shared with you is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the other provisions herein, and shall not affect the validity and enforceability of any remaining provisions. Origin of Life shall have no liability under these Terms shared with you, to the extent arising from any failure of Origin of Life to perform any of its obligations under these Terms, due to any fire, flood, earthquakes, other acts of God, war, civil unrest, terrorism, Internet failures, governmental act or court order, national emergency, strikes or labour disputes or any other event not within Origin of Life’s reasonable control. Origin of Life shall not be responsible for damage or other problems caused by any unauthorised change to these Terms made by way of hacking or cracking this page.
3. The failure of Origin of Life to exercise or enforce any right or provision of the Terms, shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction or arbitrator to be invalid, the parties nevertheless agree that the court or arbitrator should endeavour to give effect to the parties’ intentions as reflected in the provision, to the extent that may lawfully be done, and the other provisions of these Terms shall remain in full force and effect.
4. These Terms or any Program-specific terms shared with you constitute the entire agreement between you and Origin of Life relating to the matters set forth herein, and shall not be modified except in writing, as posted on the said Website by Origin of Life or through a specific writing between you and Origin of Life.
5. Origin of Life may freely transfer or assign any portion of its rights or delegate its obligations under the Terms. You may not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under the Terms, without the prior written consent of Origin of Life, and any such attempted transfer or assignment shall be void and of no effect.

FEEDBACK
Any feedback you provide with respect to the Application shall be deemed to be non-confidential. The Application shall be free to use such information on an unrestricted basis. Further, by submitting the feedback, You represent and warrant that (i) Your feedback does not contain confidential or proprietary information of You or of third parties; (ii) Origin of Life is not under any obligation of confidentiality, express or implied, with respect to the feedback; (iii) the Application may have something similar to the feedback already under consideration or in development; and (iv) You are not entitled to any compensation or reimbursement of any kind from the Origin of Life for the feedback under any circumstances, unless specified.
